Delivery and Return Policy

1. Nature of Service and Delivery Method (SaaS) Upon Shift is a "Software as a Service" (SaaS) and artificial intelligence integration platform operating entirely in a digital environment.

  1. No physical products are sold or shipped through our platform. Therefore, physical delivery processes and fees such as shipping, freight, or customs are not applicable.
  2. Fulfillment of Delivery: "Delivery" is deemed to have occurred at the moment your account and the AI features included in your selected plan are made accessible to you electronically (https://uponshift.com) following the successful completion of your subscription purchase and payment.
  3. Access is generally provided automatically immediately (within 24 hours at the latest) after payment. If you cannot access your account or purchased features despite a successful payment, please contact us immediately at [email protected] so we can resolve the issue.

2. Free Plan (Freemium) and Service Evaluation Upon Shift offers a "Free Tier" or trial version so users can test the platform's functionality, interface, and the response quality of the AI bots. It is strongly recommended that our customers use this free plan to ensure the platform meets their individual or corporate needs before initiating any paid subscription. Users who upgrade to a paid plan are assumed to have tested the platform's capacity and functionality in the free version and accepted it as is.

3. Subscription Cancellation Conditions Since our service is based on an instantly performed, recurring digital subscription model, the cancellation conditions are as follows:

  1. Cancel Anytime: You can cancel your subscription at any time, without any commitment, through the billing panel in your Upon Shift account settings.
  2. Continuation of Access: The cancellation process only stops the automatic renewal and future charges in the next billing cycle. From the moment you cancel, you can continue to use your plan and its features until the end of your current, already-paid billing cycle.
  3. No Partial Refunds: For cancellations made in the middle of a billing cycle, partial refunds (prorated refunds) are not issued based on proportional calculations of unused days.

4. Exception to the Right of Withdrawal and Refund Policy (Important) Upon Shift is an artificial intelligence (AI) platform. Every query, message, or bot training performed by users on the platform incurs instant "API/Token" costs with the global AI providers we integrate with in the background (e.g., OpenAI, Anthropic, Google). Therefore, our refund policy is subject to strict rules:

  1. Legal Exception: In accordance with the applicable Consumer Protection Law and Distance Contracts Regulation (Article 15/1-ğ), there is no right of withdrawal for contracts regarding "services performed instantly in electronic format or intangible goods delivered instantly to the consumer."
  2. Refund Conditions: Refunds for paid subscriptions can only be requested within 14 days from the initial purchase date, provided that all of the following conditions are met:
  3. No AI generation (queries) has been performed according to our system logs after upgrading to the paid plan.
  4. No bot has been created, no knowledge base data has been processed, and no API resources have been consumed (Zero-usage rule).
  5. If any AI processing / token usage that incurs infrastructure costs to the platform is detected in your account, absolutely no refund will be issued, even if the 14-day period has not expired.

5. Third-Party Outages and Disclaimer of Liability Upon Shift relies on external AI service providers and integration channels (e.g., Meta/WhatsApp API, Telegram, etc.) to provide its services. Global server crashes, API outages, slowdowns, or situations where your account is restricted/banned by these third-party platforms in accordance with their own policies are beyond Upon Shift's control. Such external interruptions or access issues originating from third parties do not imply a failure to deliver the service and cannot be accepted as grounds for a refund or subscription cancellation (for the current period).
